Enquire about PEDDPre-Engagement Due Diligence is an organisation-commissioned assessment for a genuine prospective engagement. It helps guard against bad-faith actors by examining whether the identity, affiliations, authority, relationships and material representations of a prospective counterparty can reasonably be corroborated before a client enters or materially progresses a sensitive engagement.
It is intended for due diligence before engagement with a prospective donor, investor, partner, intermediary, overseas counterparty or comparable relationship.
The standard commission covers one primary counterparty, up to two connected individuals or entities where materially necessary to answer the agreed engagement question, and up to five material representations, normally within one principal jurisdiction and the applicable standard assessment periods.
A commission requiring additional counterparties, connected subjects, material representations, jurisdictions, specialist research or materially greater complexity is separately scoped and quoted before acceptance.
No substantive assessment begins until Integri has accepted the commissioning organisation, purpose, decision point, primary counterparty, material representations and assessment scope.
PEDD works from publicly or legitimately accessible information and agreed client-supplied material. Research is proportionate to the agreed engagement question and may examine identity, affiliations, authority, relationships, professional or organisational history and material representations relevant to that engagement.
Client-supplied identifiers and information are research starting points. They are not treated as independently verified evidence merely because the client supplied them.
PEDD provides the information on which an engagement decision can be made. Integri examines the available evidence, reports what can be corroborated, identifies material contradictions or concerns, and records what remains unresolved, together with the sources on which those findings rest.
You decide whether and how to proceed, applying the commercial, operational and professional judgement that only your organisation can make.
Boards and trustees are increasingly asked not only what they decided, but what they knew when they decided it. A PEDD report gives you a dated, independent record of what was established, what was not, and what remained unresolved at the point the decision was taken.
That record does not make the decision for you. It does mean the decision was made on a documented basis by someone independent of it, which is a materially different position from having relied on impressions and a search engine.
The client receives one confidential report. PEDD uses no numerical score and no certificate. Material representations are assessed against the evidence, and the report records any additional material findings and the overall professional outcome.
Every assessment is reviewed and authorised by Integri before issue.
The report is an assessment as at its date. It should not be relied upon for an engagement decision taken more than 90 days after issue without a further assessment. The commissioning organisation is the client entitled to rely on it, and disclosing it to another person does not give that person a right of reliance unless Integri has agreed otherwise in writing.
Material identity, affiliations, authority and representations examined are sufficiently corroborated with no material unresolved matter.
Meaningful assessment is possible but a specific material matter remains unresolved. Available evidence does not justify an adverse conclusion.
Reliable evidence establishes a material contradiction, inconsistency, adverse fact or pattern capable of affecting the engagement decision.
Available evidence is insufficient to reach a defensible overall assessment of the central proposition. This is an evidential limitation, not an adverse conclusion.
The normal target is two working days from the point at which the commission is accepted and ready for assessment. This is a target, not an unconditional deadline.
Readiness requires the agreed scope and decision point, sufficient identifiers and material, required declarations and warranties, applicable privacy conditions and cleared payment. Mandatory legal, privacy or evidential holds can delay report release.
You can, and you should. What an internal search cannot give you is independence, a defined scope, a stated assessment period, a record of what was looked for and not found, and a conclusion reached by someone with no interest in the engagement proceeding. When the question is asked afterwards, those are the things that matter.
Where PEDD concerns identifiable individuals, Integri processes personal data as an independent controller for the purposes of the service. Identifiable individuals whose personal data is intentionally collected, assessed or materially relied upon will normally receive Integri's Article 14 privacy information, subject to any applicable documented exemption.
